Kopyn LLC — Terms of Service (Website Terms of Use)

1. Acceptance of these Terms
These Terms of Service ("Terms") govern your access to and use of the website located at kopyn.com and its content (the "Site"), operated by Kopyn LLC ("Kopyn," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
2. Relationship to subscription and services agreements
The Site is provided for general information and to support our sales, marketing, and support functions. Your use of Kopyn's paid software platform and services is governed by a separate written agreement — such as a Software Subscription Agreement or Master Services Agreement (collectively, the "Services Agreement").
If there is any conflict between these Terms and a signed Services Agreement, the Services Agreement controls for the subject matter it covers. These Terms govern general use of the public Site.
3. Eligibility
The Site is intended for business use by individuals who are at least 18 years old and authorized to act on behalf of their organization. By using the Site, you represent that you meet these requirements.
4. Acceptable use
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorized access to any portion of the Site, our systems, or other users' accounts;
- Interfere with or disrupt the Site, or introduce malware or other harmful code;
- Scrape, harvest, reverse engineer, decompile, or attempt to derive the source code of the Site or any Kopyn tools, except to the extent this restriction is prohibited by law;
- Copy, reproduce, republish, distribute, or create derivative works from Site content or Kopyn's compliance tools without our written permission;
- Misrepresent your identity or affiliation, or use the Site to transmit unsolicited communications.
5. Intellectual property
The Site and all content and materials made available through it — including text, graphics, logos, the "Kopyn" name and marks, and Kopyn's compliance software, tools, templates, and HTML/JavaScript applications (collectively, the "Kopyn Materials") — are owned by Kopyn or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Except for any rights expressly granted in a signed Services Agreement, Kopyn grants you no license or right to the Kopyn Materials. You may view the public Site for your internal, informational use only. All rights not expressly granted are reserved. Unauthorized use of the Kopyn Materials may violate applicable laws and these Terms.
6. No professional or legal advice
Content on the Site — including articles, guides, checklists, and descriptions of compliance frameworks — is provided for general informational purposes only and does not constitute legal, regulatory, medical, or professional compliance advice, and does not create any advisory or fiduciary relationship. You should consult qualified professionals regarding your specific circumstances. Your use of Site content is at your own risk.
7. Accounts and security
If the Site allows you to create an account or access secured areas, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use. Access to the Kopyn platform itself is governed by the applicable Services Agreement.
8. Third-party links and services
The Site may contain links to third-party websites or services that we do not control. We provide these links for convenience and are not responsible for the content, products, or practices of any third party.
9. Disclaimer of warranties
The Site is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Kopyn does not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
10. Limitation of liability
To the fullest extent permitted by law, Kopyn and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages. Kopyn's total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars ($100). This section does not limit liability that cannot be limited under applicable law, and does not alter liability allocations set forth in any signed Services Agreement.
11. Indemnification
You agree to indemnify and hold harmless Kopyn and its members, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or violation of these Terms.
12. Governing law and venue
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Oklahoma County, Oklahoma, and you consent to the jurisdiction of those courts.
13. Changes to the Site and these Terms
We may modify or discontinue the Site, or update these Terms, at any time. Updated Terms will be posted with a revised "Last updated" date and become effective upon posting. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
14. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
15. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. These Terms, together with any applicable Services Agreement, constitute the entire agreement between you and Kopyn regarding the Site.
